Informational- Salary is credited on or before the 7th working day of each month.
- Paid directly to the employee's registered bank account.
- Mid-month joining/exit is calculated on a pro-rata basis.
- PF: 12% of Basic (employee contribution), matched by employer.
- Professional Tax: as per state slab (₹200/month typical).

1. Joining Details
- Date of Joining: 1st August 2025
- Company: Caasaa AI Innovations Pvt Ltd.
- Reporting Manager: Shakti Pratap Suryavanshi
- Working Hours: 10:00 AM - 7:00 PM (Monday to Friday)
- Work Location: Hope Tower, TS:1015, Galaxy Blue Sapphire, Sec 04, Greater Noida West Road, UP, 201309
- Saturday Rule: 1st Saturday off every month; rest all Saturdays work from home
- On probation: Follow the rules and policies of the probation period.
2. Salary Structure & Terms
Your compensation package has been carefully structured to reflect your skills, experience, and the responsibilities associated with this role. The exact breakdown will be confidentially detailed in your official salary slip upon joining.
The total Cost to Company (CTC) offered is ₹20,000 per month, comprising Basic Salary, Allowances, and Employer's PF contribution as detailed in Annexure A.
- The salary will be paid every month, typically on or before the 7th working day of each month, directly to the employee's designated bank account.
- Any applicable statutory deductions (e.g., Provident Fund, Professional Tax, Income Tax, etc.) will be made as per prevailing laws.
- Salary revisions, increments, or bonuses are not automatic and will be at the sole discretion of the management, based on the employee's performance, company policy, and market conditions.
- The company reserves the right to deduct from salary any amount that the employee owes to the company, including advances, recoverable expenses, or penalties as per policy.
- Any leave taken more than entitlement will be adjusted against the salary.
- In the event of joining or resignation in the middle of a month, the salary will be calculated on a pro-rata basis for the days worked.
- Upon termination or resignation, the company will settle all dues (including accrued leave encashment, if applicable) within 30 days of clearance from all relevant departments.
3. Leave Structure & Terms
- During the probation period, employees are eligible for Sick Leave (SL) only. Casual Leave (CL) will be credited only after confirmation of employment.
- All leave requests must be submitted at least 3 days in advance (except emergencies). Leaves must be approved by the Reporting Manager and HR.
- Casual Leave (CL) and Sick Leave (SL) cannot be carried forward. Earned Leave (EL) can be carried forward up to a maximum of 30 days and encashed as per company policy.
- If entitlement is exhausted, additional leave is treated as Leave Without Pay (LWP) with proportionate salary deduction.
- Weekly offs and public holidays will not be deducted from leave balances.
- Leaves during the notice period are generally not allowed unless approved by the Reporting Manager.
4. Probation Period
Your employment will commence with a probation period of 03 months from your date of joining. This serves as a mutual assessment opportunity. Performance will be evaluated on work understanding, punctuality & attendance, work quality, speed & performance, team collaboration, client management, communication skills, technical skills & problem-solving, and adherence to company policies. A formal review will be conducted after probation, post which employment will be confirmed, extended, or terminated.
5. Employment Terms & Conditions
Confidentiality: During employment and indefinitely thereafter, you shall maintain strict confidentiality regarding all proprietary, business, and client-related information. Company systems and resources must be used only for business purposes. All assets and information must be returned upon exit.
Non-Compete: You are prohibited from joining or providing services to any existing/past clients of the Company with whom you had direct interaction, for a period of 06 months following resignation or termination.
Termination: During probation, either party may terminate with a 15-day written notice. Post-confirmation, either party may terminate with a 60-day written notice, or payment in lieu. Immediate dismissal applies in cases of gross misconduct or breach. Final settlement is processed within 30 days of clearance.
6. Acceptance of Offer
To formally accept this offer, please sign and return a copy of this letter by 30th July 2025. We are genuinely excited about the prospect of you joining Caasaa AI Innovations Pvt Ltd.

This Non-Disclosure Agreement ("Agreement") is made effective as of [Date of Agreement] (the "Effective Date").
BETWEEN: Caasaa AI Innovations Pvt Ltd (the "Company"), a company incorporated under the laws of India, having its registered office at Hope Tower, TS:1015, Galaxy Blue Sapphire, Greater Noida West Road, Sec 04, Uttar Pradesh, 201009, India.
AND: Gajendra Singh (the "Employee"), residing at [Employee's Full Residential Address], employed in the position of AI Developer.
1. Definition of Confidential Information
"Confidential Information" means any and all non-public information disclosed by the Company to the Employee, or accessed, created, or developed by the Employee during employment, including but not limited to: business information (plans, financials, pricing, customer lists), technical information (source code, algorithms, designs, trade secrets), client/customer information, personnel information, and any information marked confidential or reasonably understood to be confidential.
Confidential Information does not include information that is publicly available through no fault of the Employee, rightfully known prior to disclosure, rightfully obtained from a third party, or independently developed without reference to Company information.
2. Obligations of the Employee
- Strict Confidentiality: Hold all Confidential Information in the strictest confidence, during and after employment, and not disclose it without prior written consent.
- Limited Use: Use Confidential Information solely for performing duties for the Company's benefit.
- Protection Measures: Take all reasonable precautions to safeguard Confidential Information and adhere to Company security policies.
- No Unauthorized Duplication/Removal: Make no unauthorized copies and remove no Company property without authorization.
- Reporting: Immediately notify management/HR/Legal of any actual or suspected unauthorized disclosure.
- Return of Property: Upon termination, immediately return all Confidential Information and Company property; retain no copies.
- Exclusive Employment: Devote full time and effort exclusively to the Company; no outside employment, freelancing, or consulting without prior written consent.
3. Ownership of Intellectual Property
All inventions, discoveries, designs, software, algorithms, data, processes, and other intellectual property conceived or developed by the Employee during employment, that relate to the Company's business or are made using Company resources, are the sole and exclusive property of the Company. The Employee agrees to disclose and assist in perfecting the Company's ownership rights.
4. Term and Survival
This Agreement commences on the Effective Date and remains in force throughout employment. The obligations of confidentiality, IP ownership, non-compete, notice period, and breach consequences survive termination indefinitely or for the periods stipulated herein.
5. Remedies
The Employee acknowledges that any breach would cause irreparable harm for which monetary damages are inadequate. The Company is entitled to seek injunctive relief in addition to any other remedies at law or equity.
6. Non-Compete Clause
For a period of twelve (12) months from resignation or termination (the "Restricted Period"), the Employee shall not directly or indirectly engage with, work for, or accept employment from any existing client of the Company for whom the Employee worked or had access to confidential information. This applies globally, given the nature of the Company's business.
7. Notice Period, Knowledge Transfer & Final Settlement
- The Employee shall serve the notice period stipulated in their Employment Contract or Offer Letter.
- During notice, the Employee shall diligently hand over all knowledge, tasks, and documentation, and secure a formal sign-off from the Reporting Manager.
- Full and final settlement is contingent upon successful handover and issuance of a No Objection Certificate (NOC).
8. Breach and Consequences
Any breach entitles the Company to pursue all legal and equitable remedies, including civil lawsuits, damages, recovery of payments, and immediate termination. The Employee shall not engage in any defamatory or disparaging conduct toward the Company.
9. Governing Law and Jurisdiction
This Agreement is governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the competent courts located in Noida / Ghaziabad / Delhi, Uttar Pradesh, India.
10. Acknowledgment
The Employee acknowledges that this Agreement is a material condition of employment, has had the opportunity to review it and consult legal counsel, and voluntarily agrees to all terms herein.
